Terms of Service

These terms govern your use of Feegate, the software that automates paid Discord and Telegram access.

These Terms of Service (“Terms”) apply to your access to and use of Feegate, the software platform at tiersly.com (the “Service”). Feegate is a product of SG Solutions LLC, doing business as Tiersly. Tiersly is a DBA of SG Solutions LLC. In these Terms, “Feegate,” “Tiersly,” “we,” “us,” and “our” mean SG Solutions LLC. “You” means the person or organization using the Service, whether as a community owner (“Creator”) or as a paying member (“Member”).

By creating an account, connecting a Discord server or Stripe account, purchasing access, or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use Feegate.

1. What Feegate is

Feegate is multi-tenant software for paid Discord and Telegram communities. Creators sign up, connect their own Discord server and their own Stripe account via Stripe Connect (Express), and define paid tiers mapped to Discord roles. Those tiers may be recurring subscriptions or one-time / lifetime purchases. Members pay on a Creator’s branded checkout or storefront (for example, pages at /c/<slug>), link Discord through OAuth, are invited to the server, and are granted the role that matches the tier they bought. If a membership is canceled, refunded, charged back, or a payment fails and is not cured within the applicable grace period, Feegate revokes the corresponding role.

Stripe is the source of truth for billing. Feegate never collects or stores raw card numbers. Checkout runs through Stripe Checkout or Stripe Elements only.

Feegate is software that automates paid Discord and Telegram access. We are not a bank, money transmitter, payment processor, marketplace, or merchant of record for Creator sales. We do not sell physical goods, issue cards, run ads, hold customer balances for yield, or provide invoicing, courses, crypto, or ticketing as a product.

2. Eligibility

You must be at least 18 years old to use Feegate, whether as a Creator or as a Member. By using the Service you represent that you are 18 or older and have the legal capacity to enter these Terms. If you use Feegate on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

You may not use the Service if you are prohibited from using U.S. software or payment services under applicable sanctions or export laws, including if you are located in a comprehensively sanctioned jurisdiction or listed as a prohibited party.

3. Accounts and registration

You must provide accurate information when you register and keep it current. You are responsible for activity on your account and for keeping login credentials, Discord access, and connected Stripe credentials secure. Notify us promptly at support@tiersly.com if you believe your account has been compromised.

Creators connect their own Discord server and their own Stripe Express account. You represent that you own or are authorized to administer that Discord server and that you are authorized to connect that Stripe account. Stripe may require identity verification (KYC) before you can receive payouts. If Stripe declines, suspends, or later withdraws approval of your connected account, you may be unable to accept payments or receive payouts, and we may suspend related Feegate features.

Members typically authenticate with Discord OAuth so Feegate can invite them and assign roles. You authorize us to use the Discord permissions you grant for that purpose.

4. Privacy

How we collect, use, and share information is described in our Privacy Policy. By using the Service, you acknowledge that processing.

5. Your use of the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose: Creators operating paid Discord memberships, and Members purchasing and accessing those memberships.

Prohibited uses

You may not use Feegate, or help anyone else use Feegate, for any of the following. This list is not exhaustive.

  • Any illegal activity, or any activity that violates applicable law.
  • Fraud, deceptive practices, fake transactions, or friendly-fraud chargebacks.
  • Child sexual abuse material, exploitation of minors, or any sexual content involving anyone 17 or under.
  • Adult sexual content, pornography, or sexually explicit communities or offers.
  • Hate, harassment, or content that incites violence against people or groups.
  • Weapons, explosives, or instructions for violent crime.
  • Controlled substances, illegal drugs, or drug paraphernalia.
  • Peer-to-peer money transfer, cash transmission, or moving funds unrelated to a genuine Discord membership or role-access purchase.
  • Scraping, crawling, or harvesting the Service, or accessing it through automated means except ordinary search-engine indexing of public pages.
  • Misrepresenting your business, offers, identity, or transaction purpose to Members, Feegate, Stripe, Discord, or other payment or platform partners.
  • Circumventing security, probing for vulnerabilities, reverse engineering the Service except where the law allows, or interfering with other users.
  • Infringing intellectual property or other rights, or uploading malware or harmful code.

We may investigate suspected violations, remove access, withhold or reverse platform features, and report activity to Stripe, Discord, or law enforcement. Stripe and Discord may independently suspend you under their own rules.

6. Payments, Stripe, and merchant of record

All payments on Feegate are processed by Stripe. Feegate does not take possession of raw payment-card data and is not a payment processor. Stripe’s terms and acceptable-use policies apply to every charge, refund, dispute, and payout.

For community sales, the Creator is the merchant of record. Members pay the Creator. Stripe pays the Creator out on the Creator’s connected Stripe account, subject to Stripe’s payout schedule, reserves, and compliance reviews. Feegate charges a platform application fee (a percentage of the sale) that Stripe routes to the Feegate platform account. Feegate does not hold Member funds for Creators and does not operate a stored-value balance.

Creators are responsible for describing their tiers accurately, delivering the Discord access they sell, setting prices and taxes as required, handling customer support for their community, and complying with consumer, tax, and marketing laws that apply to them. Feegate provides software that automates checkout, role grants, dunning, refunds and chargeback handling workflows, analytics, a member portal, and a creator dashboard. We do not control what a Creator posts inside Discord.

Recurring memberships renew through Stripe until canceled. Failed payments may start a grace period during which the Member keeps the role; if the payment is not cured, the role is removed. One-time or lifetime purchases grant the mapped role according to the Creator’s offer and these Terms, and may still be revoked after a refund or chargeback.

7. Discord communities and content

Discord is a separate service. Discord’s Terms of Service, Community Guidelines, and Developer / Bot policies apply to every server, bot invite, OAuth grant, and role change. Feegate is not Discord and is not responsible for Discord’s availability, moderation decisions, or account actions.

Creators are solely responsible for their community content, channels, messages, files, and member conduct. Feegate does not review, endorse, or control what happens inside a Discord server. We are not responsible for community content, advice, or interactions between Creators and Members. If you have a dispute about a community’s content or access, start with that Creator. You may also contact us at support@tiersly.com if the issue involves the software or a suspected Terms violation.

8. Platform fees

Feegate charges Creators a platform application fee on qualifying sales, shown in the creator dashboard or during onboarding. Stripe also charges its own processing fees. Those Stripe fees are Stripe’s, not Feegate’s. We may change the Feegate fee for future transactions by updating the dashboard or these Terms; existing subscriptions are handled as disclosed at the time of change.

9. Refunds, cancellations, and chargebacks

Memberships sold through Feegate are digital Discord role access and community access. The platform refund rule is a 7-day refund window measured from the date of the charge (the original purchase or a renewal). Our Refund Policy states the same rule in more detail.

If a refund is issued within 7 days of the charge, Feegate revokes the paid Discord and Telegram access tied to that payment. Do not expect to keep paid access after that payment has been returned.

After 7 days, refunds are at the Creator’s and/or the platform’s discretion, unless a refund is required by law. A Creator may publish a more generous policy on their storefront; they cannot override a refund that law requires.

Chargebacks and payment disputes still revoke paid role and community access, whether or not they fall inside the 7-day window. Chargebacks are processed by the card network and Stripe. Abusive or fraudulent dispute activity is a violation of these Terms.

Canceling a subscription or failing a renewal is not the same as a refund. Those events follow the Service’s existing grace-period entitlement rules: the Member may keep the role during the grace period, and Feegate removes the role if the payment is not cured before the grace deadline.

10. Intellectual property

Feegate, Tiersly, the Service, and related branding are owned by SG Solutions LLC or its licensors. These Terms do not transfer any ownership to you. You may not copy, modify, or create derivative works of the Service except as needed to use it as intended.

Creators retain rights in their own names, server branding, and community content, and grant Feegate a limited license to host, display, and process that material as needed to operate storefronts, checkout, emails, and the dashboard.

11. Third-party services

The Service depends on third parties, including Stripe, Discord, email delivery (Resend), hosting providers, and analytics tools. Those services have their own terms and privacy policies. We are not responsible for outages, policy changes, or decisions by those providers. If Stripe or Discord suspends an integration, related Feegate features may stop working until the issue is resolved.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that role grants or revocations will be instantaneous, that Discord or Stripe will remain available, or that a particular community will meet a Member’s expectations.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SG SOLUTIONS LLC, TIERSLY, AND FEEGATE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF ACCESS TO A DISCORD SERVER, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE PLATFORM FEES YOU PAID TO FEEGATE IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations; in those places, our liability is limited to the fullest extent permitted.

14. Indemnification

You will defend, indemnify, and hold harmless SG Solutions LLC (d/b/a Tiersly) and Feegate from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your Discord community or content, your offers, your violation of these Terms or law, or your dispute with a Member, Creator, Stripe, or Discord.

15. Suspension and termination

You may stop using Feegate at any time. Creators remain responsible for existing Stripe subscriptions and Discord access until they cancel or migrate those relationships. We may suspend or terminate access immediately if we reasonably believe you have violated these Terms, created risk for Members, payment partners, or the platform, or if Stripe or Discord requires it. After termination we may retain records as described in the Privacy Policy and as needed for legal, tax, or dispute purposes. Sections that by their nature should survive (including payments already processed, disclaimers, liability limits, indemnity, and governing law) will survive.

16. Governing law and venue

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Exclusive venue for any dispute arising out of these Terms or the Service is the state or federal courts located in the State of Washington, USA, and you consent to personal jurisdiction there. This section does not prevent either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information, or from using a small-claims court if the claim qualifies.

If a court finds any part of these Terms unenforceable, the rest remains in effect. These Terms are the entire agreement between you and us about the Service and supersede prior discussions about the same subject. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the Service.

17. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page will change when we do. Material changes will be posted on this page. If you continue to use the Service after the updated Terms take effect, you accept the revised Terms. If you do not agree, stop using the Service.
